Terms of Service

How we work together: payments, revisions, ownership and the fine print, in plain language.

These terms apply when you use studiohalden.com or hire Studio Halden (“Studio Halden”, “we”, “us”), a design studio based in New Jersey, USA. “You” means the person or company using the site or hiring us. Each project or retainer is also described in a written proposal, statement of work, or invoice (the “Engagement”). If an Engagement and these terms disagree, the signed Engagement wins.

1. Using this website

Case studies, demos and AI assistants on this site show how we work. They are not a promise of a specific result, and nothing on the site is a binding quote. Please don't misuse the site, attempt to break its security, or scrape it. Our Privacy Policy explains how we handle your information.

2. Starting a project

Projects begin with a discovery call, then a written Engagement describing the scope, deliverables, timeline and price. Work starts once the Engagement is accepted and the deposit is paid. Anything not listed in the Engagement is out of scope and is quoted separately before we do it.

3. Payments

  • Projects: 50% deposit to book the work, and the remaining 50% at launch or final delivery, unless the Engagement sets different milestones.
  • Retainers: billed monthly in advance and renewed automatically each month until cancelled (see section 6).
  • Invoices are due by the date shown on them. We accept card and bank payments through Stripe, our payment processor. We never see or store your full card number.
  • Prices are in US dollars and exclude any taxes, which we'll add where the law requires.

4. Late payments

If an invoice is more than 7 days overdue, we may pause work until it's paid, and timelines move by the length of the pause. Balances more than 30 days overdue may be charged interest of 1.5% per month (or the maximum the law allows, if lower), plus reasonable collection costs. Final files, source files and account handovers are released once the balance is paid.

5. Deposits, cancellations and refunds

  • If you cancel in writing before work begins, we refund your deposit in full.
  • Once work has begun, the deposit is non-refundable. It covers the time we've reserved and the work started.
  • If you end a project partway through, you pay for work completed up to that point (the deposit counts toward it), and you receive that work once paid.
  • If we have to end a project for reasons on our side, we refund any amount paid for work we haven't delivered.

Full details are in our Refund & Cancellation Policy.

6. Retainers and automatic renewal

Retainers are month-to-month with no long-term commitment. Your card or bank account is charged the monthly amount shown at checkout on the same date each month until you cancel. You can cancel at any time, online, in a few clicks at studiohalden.com/billing/manage or by emailing info@studiohalden.com. Cancellation takes effect at the end of the month you've already paid for, and you won't be charged again. We don't refund partial months. We'll email you at least 30 days before any price change, and you can cancel before it applies.

7. Revisions

Each deliverable includes two rounds of revisions unless the Engagement says otherwise. A round is one consolidated set of feedback. Extra rounds, or changes to approved work or to the agreed direction, are quoted before we do them. Feedback we're waiting on for more than 14 days may move the timeline.

8. Your responsibilities

You agree to give us accurate information, timely feedback and approvals, and the content and access we need. You confirm that you own or have permission to use everything you send us (logos, text, photos, data), and you are responsible for that material.

9. Ownership of the work

  • Until you've paid in full, we own everything we create for you, and you may use drafts only to review them.
  • Once you've paid in full, ownership of the final deliverables listed in the Engagement passes to you.
  • We keep ownership of our pre-existing tools, code libraries, templates, methods and know-how. You get a permanent, non-exclusive license to use any of these that are built into your deliverables.
  • Third-party items such as fonts, stock images, plugins and open-source code stay under their own licenses. We'll tell you about any you need to buy or keep active.
  • We may show the finished work in our portfolio and case studies, unless you ask us in writing not to or the Engagement includes a confidentiality agreement.

10. AI and third-party tools

We use AI tools and third-party services (for example hosting, scheduling, payments and AI models) to work faster. A person at the studio reviews all work before it's delivered. These services run on their own terms, and we're not responsible for their outages or changes. Where a deliverable runs on a service you pay for, you're responsible for keeping that account active.

11. Confidentiality

We keep your non-public business information confidential and use it only to do your work. This doesn't cover information that is already public or that we're legally required to disclose.

12. Warranties

We do the work with professional care and fix defects in our own deliverables that you report within 30 days of launch, free of charge. Apart from that, the site and our services are provided “as is”. We don't guarantee specific business results such as traffic, rankings, leads or revenue.

13. Limit of liability

To the fullest extent the law allows, our total liability for any claim connected to the site or our services is limited to the amount you paid us for the specific project or retainer involved in the 12 months before the claim. Neither of us is liable to the other for indirect, incidental or consequential losses, such as lost profits or lost data. Nothing in these terms limits liability that can't legally be limited.

14. Indemnity

You agree to cover our reasonable costs if a third party makes a claim against us because of material you provided or how you use the deliverables after handover.

15. Disputes and governing law

If something goes wrong, email us first at info@studiohalden.com and we'll try to resolve it within 30 days. Please contact us before disputing a charge with your bank. These terms are governed by the laws of the State of New Jersey, USA. Any dispute that isn't resolved informally will be heard in the state or federal courts located in New Jersey, and both of us consent to those courts.

16. Changes and general terms

We may update these terms, and the date at the top shows the latest version. Changes don't affect an Engagement already signed. If any part of these terms is found unenforceable, the rest still applies. Neither of us is responsible for delays caused by events outside reasonable control.
